Welcome to Picarlo. These Terms of Service govern your use of our website, online store, checkout, appointment booking, product purchases, repair services, installation services, diagnostics, tuning, upgrades, custom modification services, and related services.
Picarlo is operated by AVNU Corporation. By visiting our website, placing an order, booking a service, approving a quote, paying a deposit, authorizing service, or using any Picarlo product or service, you agree to these Terms.
If you do not agree to these Terms, please do not use our website, purchase our products, or request our services.
1. About Picarlo
Picarlo provides e-bike parts, upgrade kits, repair, installation, diagnostics, tuning, custom modification, and related services.
Our products and services may include e-bike kits, motors, controllers, displays, wiring, sensors, batteries, chargers, accessories, installation, service labor, compatibility review, and technical support.
2. Additional Policies
These Terms should be read together with Picarlo’s other policies, including:
- Privacy Policy.
- Return and Refund Policy.
- Shipping Policy.
- Warranty & Service Policy.
- Modification, Safety & Off-Road Disclaimer.
- Liability Waiver.
- Any checkout disclosure, quote, invoice, service authorization, or signed acknowledgment applicable to a specific product or service.
If a more specific written policy, invoice, quote, service authorization, or signed acknowledgment applies to a particular product or service, the more specific document will control for that issue to the extent permitted by law.
3. Orders, Pricing, and Availability
Product prices, service prices, availability, shipping timelines, appointment times, and product information may change without notice.
Picarlo makes reasonable efforts to display accurate information, but errors may occur. We reserve the right to correct errors, update information, refuse orders, cancel orders, limit quantities, or adjust quotes if information is inaccurate, incomplete, unavailable, unsafe, unlawful, or inconsistent with Picarlo policies.
Submitting an order or appointment request does not guarantee acceptance. An order is confirmed only when accepted by Picarlo and any required payment or deposit has been received.
4. Payment
Picarlo may accept payments through Shopify Payments or other payment methods made available at checkout, invoice, or service authorization.
Payment may be required in full or in part before products are shipped, parts are ordered, appointments are reserved, diagnostics begin, or service work is performed.
Picarlo is not required to release products, parts, or serviced vehicles until all amounts due have been paid.
Customers are responsible for applicable taxes, shipping fees, service fees, diagnostic fees, installation fees, labor fees, and other charges disclosed at checkout, on a quote, invoice, or service authorization.
Failed payments, chargebacks, payment disputes, fraud alerts, or unpaid balances may delay or cancel orders and services.
5. Quotes and Estimates
Any quote, estimate, diagnostic result, repair recommendation, service timeline, or cost projection is based on the information available at the time.
Quotes and estimates may change after inspection, diagnostics, disassembly, testing, or installation if Picarlo discovers hidden damage, compatibility issues, unsafe wiring, worn parts, battery issues, frame limitations, brake limitations, or other conditions.
If additional work or cost is required, Picarlo will make reasonable efforts to obtain customer approval before proceeding.
6. Customer Responsibility
Customers are responsible for providing accurate and complete information about their vehicle, battery, charger, controller, motor, display, wiring, previous repairs, previous modifications, and known issues.
Customers are responsible for confirming that they are the legal owner of the vehicle or are authorized to request service.
Customers are also responsible for understanding and following all applicable laws, road rules, trail rules, park rules, school rules, age restrictions, helmet requirements, registration requirements, licensing requirements, insurance requirements, and local regulations.
Picarlo does not provide legal, insurance, registration, licensing, engineering, or regulatory advice.
7. Product Compatibility
Picarlo may provide compatibility guidance based on customer-provided information, product specifications, photos, supplier information, and prior experience.
Compatibility guidance is not a guarantee.
E-bike models, wiring, connectors, batteries, controllers, firmware, brakes, frames, and production batches may vary. A product may require inspection, adjustment, additional parts, professional installation, or may ultimately be unsuitable for a specific vehicle.
Customers must provide accurate vehicle information before ordering or authorizing service.
8. Batteries, Chargers, and Electrical Components
E-bike batteries, chargers, controllers, motors, wiring, connectors, displays, throttles, sensors, and other electrical components may create safety risks if damaged, mismatched, improperly installed, improperly charged, modified, wet, overheated, or incorrectly stored.
Customers must use only compatible batteries, chargers, controllers, wiring, and electrical components.
Customers should not use damaged, swollen, wet, overheated, punctured, modified, uncertified, mismatched, or visibly unsafe electrical components.
Picarlo may refuse to install, test, charge, store, transport, or service any battery or electrical component that we reasonably believe may be unsafe.
9. Third-Party and Customer-Supplied Parts
Customers may request service involving parts not purchased from Picarlo. Picarlo may accept or decline such requests at our discretion.
Picarlo does not guarantee the safety, quality, authenticity, certification, legality, performance, or compatibility of customer-supplied parts.
Customer-supplied parts are not covered by Picarlo product warranty. If customer-supplied parts cause or contribute to damage, electrical failure, overheating, compatibility issues, injury, or additional repair needs, the customer is responsible for related risks and costs.
10. Modification, Safety, and Off-Road Use
E-bike repair, installation, upgrades, tuning, and custom modifications may affect speed, acceleration, braking, handling, stability, electrical load, battery temperature, controller performance, frame stress, warranty status, insurance coverage, legal classification, and permitted riding locations.
Products or configurations involving higher power, speed unlocking, off-road tuning, or high-performance use may not be suitable for public road use and may be intended only for lawful off-road, closed-course, private-property, competition, or controlled-environment use where such use is permitted.
Picarlo does not encourage, recommend, authorize, or approve illegal operation of modified or high-performance vehicles on public roads, sidewalks, bike lanes, bike paths, trails, parks, school areas, or other restricted locations.
Customers are responsible for reviewing and following Picarlo’s Modification, Safety & Off-Road Disclaimer, Liability Waiver, and any required signed acknowledgment.
11. Shipping and Delivery
Order processing time is generally within 48 hours after a properly completed order is received, unless otherwise stated.
Shipping is generally handled by UPS or another carrier selected by Picarlo. Delivery time depends on the carrier, destination, and service level.
Tracking information will be provided when available, usually by email, SMS, or order notification.
Shipping dates, restock dates, preorder dates, and delivery estimates are estimates unless Picarlo clearly confirms a specific timeframe in writing.
For out-of-stock, preorder, custom, or special-order items, timing will be communicated before payment where practicable.
12. Returns, Refunds, and Warranty
Returns, exchanges, refunds, cancellation rights, deposits, final sale items, damaged items, missing items, and non-refundable service fees are governed by Picarlo’s Return and Refund Policy.
Product warranty, labor warranty, workmanship coverage, exclusions, inspection rights, and warranty remedies are governed by Picarlo’s Warranty & Service Policy.
13. Service Authorization
Before Picarlo performs repair, installation, upgrade, modification, diagnostics, disassembly, testing, or custom work, we may require customer authorization.
Authorization may be provided through website forms, email, text message, phone confirmation, written approval, electronic signature, paper signature, or in-person approval.
By authorizing service, you confirm that:
- You are the owner of the vehicle or are authorized to approve service for it.
- You have provided accurate information about the vehicle and its condition.
- You understand that repair, installation, upgrade, or modification may affect safety, performance, warranty, insurance, legal classification, and permitted riding locations.
- You authorize Picarlo to perform the approved work.
- You agree to pay approved charges, including parts, labor, diagnostics, taxes, and applicable fees.
Picarlo may require a separate written acknowledgment for high-performance products, off-road products, customer-supplied parts, battery-related work, or other higher-risk services.
14. Test Rides and Vehicle Handling
When reasonably necessary for diagnostics, repair, installation, quality control, or safety verification, customers authorize Picarlo employees, contractors, or authorized personnel to move, lift, inspect, power on, test, and conduct limited test rides of the vehicle.
Customers should remove valuables, personal items, loose accessories, bags, cameras, devices, and removable items before leaving a vehicle with Picarlo.
Picarlo will make reasonable efforts to handle vehicles carefully, but test rides, diagnostics, lifting, disassembly, electrical testing, and repair work may involve ordinary service-related risk.
15. Website Use
Customers agree not to misuse the website, submit false information, interfere with website security, copy website content without authorization, use the website for unlawful activity, or attempt unauthorized access to systems, accounts, or customer information.
Picarlo may refuse service, cancel orders, restrict access, or take other appropriate action if these Terms are violated.
16. Intellectual Property
All website content, including text, graphics, logos, photos, videos, product descriptions, service descriptions, designs, layouts, guides, and related materials, is owned by Picarlo, AVNU Corporation, or used with permission.
Customers may not copy, reproduce, distribute, modify, sell, scrape, reverse engineer, or commercially exploit any website content without written permission.
17. Third-Party Links, Tools, and Services
Our website or services may include links to third-party websites, payment processors, shipping carriers, map tools, analytics tools, advertising platforms, social media platforms, financing providers, or other third-party services.
Picarlo does not control and is not responsible for third-party websites, tools, policies, delays, errors, security practices, payment processing, shipping performance, or content.
Your use of third-party services may be subject to their own terms and privacy policies.
18. Limitation of Liability
To the fullest extent permitted by law, Picarlo is not responsible for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost income, missed work, transportation costs, loss of use, insurance denial, fines, penalties, registration issues, third-party claims, property damage, or losses related to unsafe, improper, unauthorized, or unlawful use of products or modified vehicles.
Picarlo is not responsible for damage or loss caused by incorrect customer information, customer-supplied parts, improper use, accidents, water exposure, unauthorized repair, incompatible components, improper charging, failure to maintain the vehicle, or use in unlawful or restricted locations.
To the fullest extent permitted by law, Picarlo’s total liability for any claim will not exceed the amount paid by the customer to Picarlo for the specific product or service giving rise to the claim.
19. Indemnification
Customers agree to defend, indemnify, and hold harmless Picarlo, AVNU Corporation, their owners, employees, contractors, suppliers, partners, and affiliates from claims, losses, damages, liabilities, costs, expenses, and attorneys’ fees arising from customer misuse, unlawful use, unsafe riding, unauthorized modification, customer-supplied parts, violation of these Terms, violation of law, or injury or damage caused by the customer’s vehicle or product use.
20. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules.
Unless otherwise required by law, any court proceeding related to these Terms or Picarlo products or services shall be brought in the state or federal courts located in Los Angeles County, California.
21. Changes to These Terms
Picarlo may update these Terms from time to time. The updated version will be posted on our website with a revised Last Updated date.
Continued use of our website, products, or services after updated Terms are posted means you accept the updated Terms.
22. Severability
If any part of these Terms is found to be invalid, unlawful, or unenforceable, the remaining sections will remain in full force and effect.
